Policy guarantees higher turnover and profits - AHA Commerce
The Turnover & Profit Up Guarantee Program ("Program") is AHA Commerce's ("AHA") commitment to help brands achieve turnover growth and gross profit ("Gross Profit") according to agreed targets. By participating in this Program, the brand ("Client") is deemed to understand and agree to all of the following conditions.
1. Program Scope
This program guarantees achievement:
Minimum 20% increase in turnover, and
Positive gross profit (>0%),
within a mutually determined period.
This warranty applies only if all Program terms and conditions are met.
2. Main Conditions of Participation
Monthly turnover of at least IDR 200,000,000, calculated from completed orders.
Previous 6 months performance data required:
complete,
valid, and
can be verified through the Store-Health Check-up by the AHA.
The brand must give AHA full access to the marketplace platform and supporting tools for operational management purposes.
3. Target Calculation Basis
3.1.Benchmark Turnover
Target turnover is calculated based on:
Average turnover in the last 6 months,
with the exception of months that contain seasonal spikes or anomalies (mutually determined based on objective data).
3.2. Gross Profit Calculation
Monthly gross profit is calculated by the formula:
Gross Profit = Turnover of successful orders
Marketplace fees
Marketing costs
AHA service fee
COGS assumption of 30%
3.3. Profit Comparison during Probation Period
During the probation period, the gross profit is compared to the gross profit of the month with the highest turnover in the 6 months prior to joining AHA.
4. Probation Period
Both parties will agree on the probation period that will be the basis for performance evaluation.
During this period, AHA carries out all marketplace management processes according to the SOPs, while brands are required to fulfill all obligations listed in Section 5.
Evaluation of target achievement is conducted at the beginning of each month in the probation period.
5. Brand Obligations (Must be Fulfilled for Warranty to Apply)
The program is only valid if the brand meets all of the following obligations:
Availability of sufficient stock to support growth.
Product pricing is stable and competitive, with no extreme changes that could hinder performance.
Quick response regarding content approval, delivery of items for photoshoot/video, and other strategic decisions.
Full admin access to marketplace accounts and supporting platforms.
Adequate marketing budget, including advertising budget as recommended by the AHA team.
Make no operational changes or experiments without AHA coordination.
No manipulation of data or activities that may affect performance measurement results.
If any of the above obligations are not met, the Warranty Program is automatically void.
6. Warranty Terms
AHA will waive the commission fee ("uncollectible commission") for the period if all of the following conditions are met simultaneously:
AHA has carried out all management according to the SOP.
Brand fulfills all obligations in Section 5.
No violations, data manipulation, or information discrepancies.
Target not achieved, that is:
kenaikan omzet <20%, atau profit kotor ≤0%,
based on agreed monthly reports.
Note:
Even if the commission is not collected, the management fee still applies and must be paid by the brand.
7. Conditions that Void the Warranty
The warranty is void in the event of any of the following conditions:
Brand does not fulfill the obligations in Section 5.
Sales or operational data proves to be inaccurate, incomplete or unverifiable.
There were drastic changes made by the brand without coordination with the AHA.
External issues occur that are beyond AHA's control, including but not limited to:
suspended/banned from the marketplace,
violation of platform policies by brands,
force majeure,
big logistical problems,
New marketplace regulations that affect listings, categories, or traffic,
product recalls due to legal or quality issues.
8. Program Review & Update
AHA reserves the right to:
conduct periodic evaluations of the Program's effectiveness,
update these Terms & Conditions at any time,
apply changes without prior notice, with the latest version deemed to take effect from the time it is published on the website.
9. Approval
By participating in AHA services, the brand declares that it has read, understood, and agreed to all the provisions in this Terms & Conditions page.
